1. Securities and Investment Disclaimer

The public website is an introductory source of information concerning Ceron Corporation. It is not a private placement memorandum, subscription agreement, indenture, offering circular, appraisal, title report, diligence package or definitive securities agreement.

No securities may be purchased through the public website. A potential investment may proceed only through Ceron's applicable qualification, verification, diligence, definitive-document and closing process.

2. Regulation D Rule 506(c)

Ceron's current public materials describe a planned Regulation D Rule 506(c) private placement. Rule 506(c) permits general solicitation subject to applicable requirements, including that purchasers satisfy accredited-investor requirements and that the issuer take required verification steps. A public website checkbox is preliminary only and is not final investor verification.

Private securities and private debt investments involve substantial risk, including possible loss of principal, illiquidity, financing risk, execution risk, operating risk, collateral risk, valuation risk, interest-rate risk, regulatory risk, technology risk and other risks. No public website statement guarantees payment, performance, value, liquidity or return.

5. Property and Acquisition Status

The public website intentionally generalizes the identity and detailed characteristics of the Southern California destination / hotel / convention platform. Public descriptions should not be interpreted as a representation that Ceron presently owns an identified property unless and until acquisition closing and title status are confirmed in definitive transaction materials.

Precise location, seller identity, title, appraisal, diligence materials and identifying transaction information may be reserved for qualified parties through controlled diligence.

6. Illustrative Website Imagery

Some public website images are illustrative or conceptual and are intended to convey operating similarity, planned use, atmosphere or business category. Illustrative hotel, convention, data-center and media-production images should not be interpreted as photographs of every current Ceron-owned facility or as proof that a depicted improvement presently exists.

7. Forward-Looking Statements

Statements concerning planned acquisitions, development, revenues, operating expansion, AI infrastructure, GPU deployment, hospitality performance, media operations, financing, timing, market demand or similar matters may be forward-looking. Such statements are based on assumptions and are subject to known and unknown risks and uncertainties. Actual results may differ materially.

8. Independent Professional Advice

Prospective investors should conduct independent diligence and consult their own legal, tax, accounting, financial and investment advisers. Ceron does not provide individualized legal, tax or investment advice through the public website.
